1. Acceptance of these terms
These Website Terms of Use ("Terms") are a legal agreement between you and FieldEquip, Inc. ("FieldEquip," "we," "us," or "our").
They govern your access to and use of the FieldEquip website at www.fieldequip.com and our related marketing pages and tools (collectively, the "Site"). By accessing or using the Site, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Site.
2. Scope & relationship to other agreements
These Terms apply only to your use of the Site. They do not govern your subscription to or use of the FieldEquip field service management platform or any related services (the "Services"), or your use of the FieldEquip mobile applications when logged in to the Services.
Your access to and use of the Services is governed by a separate agreement — the FieldEquip Subscription Terms (together with any order form, master subscription agreement, and data processing agreement entered into between FieldEquip and your organization). In the event of any conflict between these Terms and the Subscription Terms with respect to the Services, the Subscription Terms control.
3. Eligibility
The Site is intended for business and professional use by individuals who are at least 18 years old and able to form a binding contract. If you use the Site on behalf of an organization, you represent that you are authorized to accept these Terms on that organization's behalf.
4. Use of the website
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable permission to access and use the Site for your internal business and informational purposes. We may modify, suspend, or discontinue any part of the Site at any time without liability.
5. Prohibited conduct
When using the Site, you agree not to:
- use the Site in violation of any applicable law or regulation;
- copy, reproduce, scrape, frame, or republish any part of the Site except as expressly permitted;
- reverse engineer, decompile, or attempt to derive source code from the Site, except where such restriction is prohibited by law;
- interfere with or disrupt the Site, its security, or the networks and servers it relies on;
- attempt to gain unauthorized access to any part of the Site or related systems;
- use any automated means (bots, crawlers, harvesters) to access or collect data from the Site without our prior written consent;
- introduce viruses, malware, or other harmful code;
- submit false, misleading, or fraudulent information through any form on the Site;
- use the Site to send unsolicited communications or to infringe the rights of others.
6. Intellectual property
The Site and all content on it — including text, graphics, logos, icons, images, layouts, software, and the "look and feel" — are owned by or licensed to FieldEquip and are protected by intellectual property and other laws. FieldEquip, the FieldEquip logo, and related marks are trademarks of FieldEquip, Inc. and/or its affiliates. Other names and logos appearing on the Site are the property of their respective owners and do not imply endorsement.
Except for the limited permission in Section 4, nothing in these Terms grants you any right, title, or interest in the Site or its content. All rights not expressly granted are reserved.
7. Submissions & feedback
If you submit information through a form on the Site — such as a demo request, contact inquiry, quote request, resource download, or interactive tool — you are responsible for the accuracy of that information, and we handle it in accordance with our Privacy Policy.
If you provide suggestions, ideas, or other feedback about the Site or our products ("Feedback"), you grant FieldEquip a perpetual, irrevocable, worldwide, royalty-free license to use that Feedback for any purpose without obligation or compensation to you.
8. Third-party links & content
The Site may contain links to third-party websites, services, or resources that we do not control. We provide these links for convenience only and are not responsible for the content, products, or practices of any third party. Your use of third-party sites is at your own risk and subject to their terms.
9. Privacy
Our collection and use of personal information through the Site is described in our Privacy Policy, which is incorporated into these Terms by reference.
10. Disclaimers
THE SITE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY INFORMATION ON THE SITE IS ACCURATE OR COMPLETE.
Any tools, estimates, or outputs provided on the Site (for example, the ROI Calculator) are for general informational purposes only, are based on assumptions and the inputs you provide, and do not constitute a guarantee of results, or financial, legal, or professional advice.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FIELDEQUIP AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (USD $100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
12. Indemnification
You agree to indemnify and hold harmless FieldEquip and its affiliates from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your misuse of the Site or your violation of these Terms or applicable law.
13. Changes to the website & terms
We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Changes are effective when posted. Your continued use of the Site after changes are posted means you accept the revised Terms. We may also change, suspend, or discontinue any aspect of the Site at any time.
14. Governing law & disputes
These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. You agree that any dispute arising out of or relating to these Terms or the Site will be subject to the exclusive jurisdiction and venue of the state courts located in Harris County, Texas, and the federal courts located in the State of Texas, and you consent to personal jurisdiction in those courts.
15. General
- Entire agreement (Site). These Terms and the documents referenced in them are the entire agreement between you and FieldEquip regarding the Site and supersede any prior understandings on that subject. They do not supersede the Subscription Terms with respect to the Services.
- Severability. If any provision is found unenforceable, the remaining provisions remain in full effect.
- No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
- Assignment. You may not assign these Terms without our prior written consent; we may assign them freely.
- Headings. Section headings are for convenience only and have no legal effect.
